1. Introduction

Welcome to WedVault ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our website and escrow services for wedding photography and videography vendors in Ontario, Canada. By accessing or using WedVault, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our services.

2. Definitions

• "Client" refers to individuals booking wedding photography or videography services through WedVault.
• "Vendor" refers to wedding photographers and videographers offering services through WedVault.
• "Escrow Services" refers to our payment holding and release services.
• "Platform" refers to the WedVault website and all associated services.
• "Agreement" refers to the contract between Client and Vendor facilitated by WedVault.

3. Eligibility

To use WedVault, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be located in Ontario, Canada (for our current service area)

4. Escrow Services

4.1 Service Overview

WedVault provides escrow services that hold Client payments until Vendors deliver agreed-upon services. We act as a neutral third party to protect both Clients and Vendors.

4.2 Payment Process

• Clients deposit funds into escrow according to the payment schedule in their Agreement
• Funds are held securely until delivery milestones are met
• Upon successful delivery and Client approval, funds are released to the Vendor
• All transactions are subject to our verification and fraud prevention measures

4.3 Fees

WedVault charges service fees as outlined on our pricing page. Fees are clearly disclosed before any transaction and may include:

• Escrow service fees (percentage of transaction value)
• Contract review fees (if applicable)
• Payment processing fees

5. Contract Review and Creation

WedVault offers contract review and creation services. However:

• We are not a law firm and do not provide legal advice
• Our contract services are for informational purposes only
• We recommend consulting with a licensed attorney for legal matters
• We are not liable for any legal disputes arising from contracts

6. Vendor Backup Guarantee

6.1 AI Matching Service

If a Vendor cancels or fails to fulfill their obligations, WedVault will use AI-powered matching to help find a suitable replacement vendor.

6.2 Limitations

• We cannot guarantee availability of replacement vendors
• Replacement vendors may have different pricing or terms
• We are not responsible for the quality of replacement vendor services
• This service is subject to reasonable notice periods and availability

7. User Responsibilities

7.1 Clients

• Provide accurate wedding and contact information
• Make timely payments according to the Agreement
• Communicate promptly regarding deliverables and concerns
• Review and approve deliverables within reasonable timeframes

7.2 Vendors

• Provide accurate business and service information
• Deliver services as specified in the Agreement
• Maintain professional standards and conduct
• Provide timely updates on project progress
• Deliver final products within agreed timeframes

8. Dispute Resolution

8.1 Mediation

In the event of a dispute between Client and Vendor, WedVault will attempt to mediate a resolution. Both parties agree to participate in good faith mediation before pursuing other remedies.

8.2 Escrow Hold

During active disputes, funds may be held in escrow until resolution. WedVault reserves the right to make final determinations on fund release based on evidence provided by both parties.

8.3 Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes will be subject to the exclusive jurisdiction of the courts of Ontario.

9. Limitation of Liability

To the maximum extent permitted by law:

• WedVault is not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid for the specific transaction in question
• We are not responsible for the quality, timeliness, or delivery of Vendor services
• We are not liable for any damages resulting from unauthorized access to your account
• We are not responsible for third-party services or websites linked from our Platform

10. Intellectual Property

All content on the WedVault Platform, including text, graphics, logos, and software, is the property of WedVault or its licensors and is protected by copyright and other intellectual property laws.

Vendors retain all rights to their creative work. Clients receive usage rights as specified in their Agreement with the Vendor.

11. Privacy

Your use of WedVault is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Termination

We reserve the right to suspend or terminate your access to WedVault at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Providing false or misleading information
• Abuse of our services or other users

Upon termination, you remain liable for all outstanding obligations.

13. Changes to Terms

WedVault reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Continued use of our services after changes constitutes acceptance of the modified Terms.

14. Indemnification

You agree to indemnify and hold harmless WedVault, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your breach of any Agreement with another user

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
